GSC Acquisition Company (“GSCAC”) is a special purpose acquisition corporation formed for the purpose of acquiring one or more businesses or assets. GSCAC will target companies with enterprise values ranging from $400 million to $1 billion; however, through the issuance of stock, either to a selling shareholder, or through a private placement, we can acquire a company of much larger size. GSCAC became effective on June 25, 2007 and trades on the AMEX under the ticker “GGA.U”.
Our efforts in identifying a prospective target business will not be limited to a particular industry. Instead we will focus on industries and target businesses in the United States and Europe that may provide significant opportunity for growth. We are looking for well established target businesses with positive cash flow, sound business fundamentals, experienced management teams, and diversified customer and supplier bases.
GSCAC will seek to capitalize on the significant investing experience and contacts of our Chairman, Alfred C. Eckert III, and our other executive officers. Mr. Eckert has over 20 years of experience investing in private equity, distressed debt and mezzanine lending. In addition, Peter R. Frank and Matthew C. Kaufman, our Chief Executive Officer and President, respectively, have more than 40 years of total experience in sourcing, evaluating, structuring and negotiating control investments and in owning businesses. These officers are further supported by a strong board of directors.
GSC Group, our Manager, has invested $1.6 billion in 34 control or shared-control situations since 1999. GSC Group principals, including our executive officers, have extensive experience serving on the boards of directors of companies in which GSC Group has had substantial equity positions. GSC Group has a broad network of experienced operational executives and experts in diverse industries that may aid in maximizing the return of an investment. GSC Group maintains active relationships with its portfolio company management teams that can help provide additional insights on a wide variety of companies and industries.
